These Terms of Use (these "Terms") govern access to and use of Unicore's websites at unicoregp.com and related subdomains, online properties, digital communications that link to these Terms, and any content, materials, tools, features, trial or demonstration environments, or functionality made available through them (collectively, the "Sites"), which are operated by Unicore Growth Partners, Inc. ("Unicore," "we," "us," or "our").
The Sites are intended solely for business and professional use. They are not offered for personal, household, or consumer purposes.
By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree, you must not access or use the Sites.
1. RELATIONSHIP TO OTHER AGREEMENTS
1.1 Website Terms vs. Master Services Agreement.
These Terms govern access to the Sites, informational resources, trials, demonstrations, and other pre-contract interactions.
If you enter into a master services agreement with Unicore (the "MSA") and one or more order forms (each, an "Order Form"), the MSA governs all professional services, deliverables, and platform access, and controls in the event of any conflict with these Terms.
These Terms govern only Site access and use. Unicore’s Privacy Policy governs Unicore’s processing of personal information (“Personal Information”) collected through the Sites as a Controller or Business, and, unless expressly agreed in a signed writing, no data processing addendum applies to Site-only activities.
For customers with an executed MSA and applicable Order Form, the MSA governs dispute resolution, remedies, and limitations of liability for disputes relating to Services, Deliverables, Audit Reports, and Platform access, and the contractual relationship. These Terms govern only Site access and use not covered by the MSA.
1.2 No Modification of MSA.
These Terms do not modify, amend, or supersede the MSA or any Order Form. Use of the Sites, including any trials or demonstrations, does not create any obligation to provide services, deliverables, or platform access unless and until the parties execute an Order Form under the MSA.
2. ELIGIBILITY AND BUSINESS USE ONLY
You may use the Sites only if:
- you are acting on behalf of a business or organization;
- you have authority to bind that entity to these Terms; and
- your use is solely for internal business, evaluation, or professional purposes.
The Sites are not directed to children, and Unicore does not knowingly collect Personal Information from individuals under the age of sixteen (16).
3. ACCOUNTS, TRIALS, AND DEMONSTRATIONS
3.1 Accounts.
Certain Site features may require account registration. You must provide accurate, current information and safeguard credentials. You are responsible for all activity conducted through your account.
3.2 Trials and Demonstrations.
Unicore may, at its discretion, provide access to trial or demonstration environments ("Trials").
Trials:
- are provided "as is" and "as available," solely for evaluation;
- may be modified, suspended, or terminated at any time, with or without notice; and
- do not create any obligation to provide Services, Platform access, or enter into an MSA or Order Form.
3.3 Conversion to Paid Services.
Access to paid services or Unicore's proprietary technology platform (the "Platform") requires execution of an Order Form under the MSA. Trials do not convert automatically into paid subscriptions unless expressly agreed in writing.
3.4 Trial Data and Outputs.
Upon Trial expiration or termination, Unicore may delete Trial data without obligation to retain or export it, unless required by law.
Any outputs, reports, analyses, or materials generated in a Trial or demonstration environment are not deliverables under any MSA or Order Form and may not be relied upon.
4. PERMITTED USE AND ACCEPTABLE USE
4.1 Permitted Use.
You may use the Sites solely to:
- learn about Unicore and its offerings;
- evaluate services or Platform capabilities; and
- access permitted business resources.
4.2 Prohibited Conduct.
You must not, directly or indirectly, access or use, or permit any third party to access or use, the Sites or any content, outputs, workflows, configurations, or materials made available through them to:
- violate any law or regulation;
- infringe intellectual property or confidentiality rights;
- reverse engineer, decompile, disassemble, or extract source code, underlying structure, logic, models, or methodologies;
- circumvent or interfere with security features, access controls, usage limits, monitoring, or audit logs;
- disrupt or attempt unauthorized access;
- use any robot, spider, scraper, crawler, data-mining tool, or other automated means to access, copy, extract, or harvest data or content without Unicore's prior written consent;
- develop, train, fine-tune, validate, benchmark, or improve any artificial intelligence or machine-learning model (including large language models) using any content, outputs, data, or materials from the Sites, or develop, train, benchmark, or improve any competing or replacement product or service;
- publish, disclose, or make available any benchmarking, performance, comparative, or competitive analysis relating to the Sites, Services, or Platform without Unicore's prior written consent;
- provide access to unauthorized third parties; or
- state or imply Unicore endorsement, certification, approval, validation, attestation, or responsibility for your business, controls, regulatory posture, or outcomes.
5. NO AUDIT, NO ASSURANCE, NO RELIANCE
The Sites, Trials, demonstrations, content, and outputs do not constitute:
- an audit, attestation, certification, or assurance;
- legal, regulatory, accounting, or compliance advice; or
- a representation regarding regulatory outcomes or approvals.
No third party, including regulators, banks, investors, partners, or counterparties, may rely on Site content or Trial outputs for any purpose. Disclosure of Site content or Trial outputs to any third party creates no Unicore duty or liability to that third party.
Nothing made available through the Sites, including any Trials, demonstrations, content, or outputs, constitutes or is intended to support forensics, investigations, dispute-related consulting, litigation support, expert services, testimony, or evidentiary use of any kind. This restriction applies only to Site content and Trial materials and does not limit any Legal Support Services or other services expressly purchased under an Order Form governed by the MSA.
6. THIRD-PARTY WEBSITES AND SERVICES
The Sites may contain links to third-party websites or services. Unicore is not responsible for the content or practices of those third parties. You are encouraged to review the terms and privacy policies of third-party websites you visit.
7. INTELLECTUAL PROPERTY
All content on the Sites, including text, graphics, logos, trademarks, software, systems, platforms, workflows, methodologies, models, templates, frameworks, tools, processes, know-how, and documentation, is owned by Unicore or its licensors and protected by intellectual property laws.
No rights are granted except the limited right to access and use the Sites in accordance with these Terms.
If you provide feedback, suggestions, or recommendations ("Feedback"), such Feedback may be used, incorporated, and exploited by Unicore without restriction, obligation, attribution, or compensation.
8. CONFIDENTIALITY, DATA SECURITY, AND PRIVACY
You may receive non-public information through the Sites. You must treat such information as confidential and use it solely for permitted purposes.
Unicore maintains an information security and artificial intelligence management program and has achieved certification under ISO/IEC 27001 (Information Security Management Systems) and ISO/IEC 42001 (Artificial Intelligence Management Systems), as assessed by an accredited certification body. Unicore also undergoes independent SOC 2 Type II examination covering applicable systems and controls and conducts periodic security testing, which may include penetration testing and vulnerability assessments performed by qualified third parties.
The scope, timing, methodology, and results of any certification, examination, or security testing are determined by Unicore based on risk and industry practices and may vary over time. Such certifications, examinations, and testing do not cover all systems, features, data, or processing activities and do not constitute representations, warranties, or guarantees regarding the security of the Sites or the absence of vulnerabilities.
Certifications, attestations, and summary security documentation made available through Unicore’s Trust Center materials are provided for informational purposes only and do not create warranties or commitments and do not modify these Terms, the MSA, any Order Form, or any data processing addendum, unless expressly stated in a signed Order Form.
Personal Information collected through the Sites is processed in accordance with Unicore’s Privacy Policy, which describes Unicore’s role as a Controller or Business for Site-related activities.
No security program eliminates all risk; this section creates no guarantee against unauthorized access or security incidents.
9. DISCLAIMERS
THE SITES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
UNICORE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
UNICORE DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
UNICORE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA; AND
UNICORE'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SITES SHALL NOT EXCEED US $100.
THESE LIMITATIONS APPLY EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.
11. DISPUTE RESOLUTION
Any dispute, claim, or controversy arising from or relating to these Terms or the Sites shall be resolved exclusively by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator experienced in commercial contracts and technology or professional services disputes, seated in Miami-Dade County, Florida, unless the parties agree otherwise. The arbitrator has exclusive authority to determine the interpretation, applicability, enforceability, and formation of this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.
The Federal Arbitration Act governs interpretation and enforcement of this dispute resolution section.
To the maximum extent permitted by law, disputes must be brought individually, not as plaintiff or class member in class, collective, or representative proceedings.
Unicore may seek temporary, preliminary, or permanent injunctive relief in court to prevent irreparable harm arising from breaches of intellectual property, confidentiality, or acceptable use, without waiving arbitration of the merits of any dispute.
12. EXPORT AND SANCTIONS COMPLIANCE
You represent that you are not located in, organized under, or ordinarily resident in any comprehensively U.S.-sanctioned country or territory, or on a U.S. government restricted-party list. You will not permit access from such persons or territories and will comply with all applicable export-control, sanctions, and anti-boycott laws. Breach of this section constitutes material breach of these Terms.
13. TERMINATION
Unicore may suspend or terminate access to the Sites at any time for any reason. Provisions that by their nature or express terms are intended to survive termination or expiration shall survive.
14. CHANGES TO THESE TERMS
Unicore may update these Terms from time to time to reflect changes in Unicore's practices, technologies, or legal requirements. Unicore posts updates with a revised effective date. Continued use of the Sites after the effective date of any update constitutes acceptance of the updated Terms.
15. GOVERNING LAW
These Terms are governed by Florida law, without regard to conflict-of-laws principles. Subject to the arbitration provisions above, any court action shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party irrevocably submits to the personal jurisdiction of those courts.
